Our Governance Principles
Integrity. Accountability. Due Diligence. Risk Awareness. Compliance. Documentation. Professional Expertise. Responsible Execution.
Governance
Strong governance begins with clarity: who is responsible, who has authority, what information is required, what risks have been identified, what approvals are necessary and what evidence supports the decision? Ventara seeks to establish clear responsibility and appropriate oversight around significant engagements and transactions.
Know Your Counterparty
The quality of a transaction depends significantly on the quality and credibility of the parties involved. Ventara considers identity, corporate existence, ownership and control, directors and key principals, business activities, commercial history, jurisdiction, institutional relationships, reputation, transaction role, source and purpose of capital where relevant, and potential conflicts or material concerns.
Where formal KYC, AML or similar regulated procedures are required, these may be undertaken by the relevant regulated institution or specialist provider.
Anti-Money Laundering & Financial Crime Awareness
Ventara recognises the importance of appropriate controls and professional scrutiny relating to money laundering, terrorist financing, fraud, bribery and corruption, sanctions, misrepresentation, illicit source of funds, improper use of corporate structures and other financial or commercial misconduct.
Where regulated obligations apply, responsibility for satisfying those statutory obligations remains with the relevant regulated institution or obligated professional.
Source of Funds & Source of Wealth
Where appropriate, Ventara may seek information or documentation concerning the source of transaction funds, economic origin of wealth or capital, ownership of funds or assets, purpose of the transaction, movement of capital between counterparties, supporting commercial documentation and relevant institutional or professional verification.
Sanctions & Restricted Parties
Where appropriate, relevant parties, ownership structures and jurisdictions may be subject to screening or specialist review. If a potential sanctions issue is identified, the transaction may require additional due diligence, professional advice, restructuring, institutional approval or termination. Commercial opportunity does not override legal or regulatory obligations.
Anti-Bribery & Corruption
Ventara supports transparent and legitimate commercial relationships. Bribery, corruption, undisclosed improper payments and inappropriate inducements have no legitimate role in the development or execution of transactions.
Conflicts of Interest
Where a material conflict is identified, appropriate steps may include disclosure, clarification of roles, information separation, independent professional advice, reallocation of responsibilities, consent where appropriate, or declining or withdrawing from an engagement where a conflict cannot be appropriately managed.
Transaction Due Diligence
Due diligence should be proportionate to the nature and complexity of the opportunity. Ventara’s strategic assessment may consider corporate, financial, commercial, counterparty, contractual, jurisdictional, operational, technology, reputational and execution dimensions.
Risk-Based Approach
Different transactions require different levels of scrutiny. Factors may include transaction value and complexity, jurisdictions, counterparty profile, ownership, source and movement of capital, assets, regulatory considerations, political or sanctions exposure, technology dependencies, intermediaries and execution risk.
Regulatory Boundaries
Ventara Global provides strategic, commercial, transaction-development and coordination services. Where regulatory authorisation is required, those activities should be performed by appropriately authorised financial institutions, investment firms, payment providers, insurers, professional advisers or other regulated counterparties, as applicable. This distinction is fundamental to the Ventara operating model.
Professional Advisers
Depending upon the mandate, Ventara may work alongside legal advisers, accountants and auditors, tax specialists, regulatory advisers, financial institutions, corporate finance specialists, insurance professionals, technical experts, cybersecurity specialists, engineers, valuation professionals, due diligence providers and other appropriately qualified specialists.
Information, Confidentiality & Data
Ventara recognises the importance of appropriate handling of commercial, financial, corporate and personal information. Measures may include confidentiality agreements, controlled information sharing, need-to-know access, secure communication, document management, appropriate data handling, transaction records and retention of relevant supporting information.
